These Terms also cover future changes to the Terms, limitations of liability, a waiver for class action, and the resolution of disputes by arbitration rather than in court. Except for specific types of disputes described in the ARBITRATION AGREEMENT SECTION below, you agree that disputes between you and us will be resolved through binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration.
As our platform evolves, we may find it necessary to modify these Terms. We reserve the right to update the Terms at any time. Should changes occur, we will notify you by posting a notice on our site (https://charis.ai), sending you an email, and/or through other means.
If you disagree with the revised Terms, you are free to reject them. Unfortunately, this means you will no longer have access to the platform. If you continue to use the platform after the changes become effective, it signifies your agreement to the new Terms.
Except for modifications by us as described here, no amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

You may not use a Name that you do not have the right to use, or another person’s name with the intent to impersonate that person. Without our prior written permission, you cannot transfer your account to anyone else.
You also may access certain parts or features of the platform by using your account credentials from other services (e.g., Google). By using the platform through a Third-Party Account, you allow us to access certain information from your account for use by the Services. You control how much information we can access and can adjust this by modifying your privacy settings on your Third-Party Account.
You affirm that you are of legal age to form a binding contract. You agree to use the platform for personal, non-commercial purposes only, in compliance with all applicable laws. If your use of the platform is prohibited by applicable laws, you are not authorized to use the platform. We are not responsible for any illegal or unauthorized use of the platform by you.
You are responsible for maintaining the confidentiality of your Charis account: email and password, and any other credentials. You are also accountable for all activities associated with your Charis username and account.
Your interactions with organizations and/or individuals encountered through the platform, are strictly between you and such entities or individuals. Should a dispute arise between participants on this site or Services, or between users and any third party, you agree that Charis is under no obligation to become involved. In the event that you have a dispute with one or more users, you release Charis and all the members of Charis and successors from claims, demands, and damages of every kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or the platform. You expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.
By uploading, posting, or otherwise submitting any images or content ("User Content") to Charis, you hereby grant Charis a worldwide, non-exclusive, royalty-free and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Charis website, its social media accounts, and its promotional content related to the brand. This license includes the right for Charis to make your User Content available to the public through any media channel without further consent, notice and/or compensation to you or others. This license extends to the use of User Content for promoting, advertising, and endorsing Charis and its services.
We continuously strive to enhance our services, which may lead to changes over time. We reserve the right to remove any Content from the platform at any time, for any reason, at our sole discretion, and without notice.
Charis and its associated parties make no warranties regarding the Services or any content accessed through the Services. The Services and all content are provided on an "as-is" basis without any warranties of any kind, either express or implied.
To the fullest extent permitted by law, Charis and its associated parties shall not be liable for any indirect, special, incidental, punitive, or consequential damages of any kind.
You agree to indemnify and hold harmless Charis and its associated parties from any claims arising from your use of the Services or your violation of these Terms.
You may not transfer these Terms or any rights or obligations herein without the prior written consent of Charis.
These Terms are governed by the laws of California, without regard to its conflict of laws principles. Disputes arising under these Terms will be resolved by arbitration in San Francisco County, California, except for claims that may be brought in small claims court. You waive any rights to a trial by jury or to participate in class actions.
By using the Services, you acknowledge and agree that you are not an employee or agent of Charis and have no authority to bind Charis in any respect whatsoever. No third-party beneficiaries are intended under these Terms except as expressly stated.
